India: Jaypee Group is reportedly in talks with HeidelbergCement and JSW Cement to form a joint venture that will control the majority of its cement plants. The plan envisages a separate joint venture entity that will house around 20 – 22Mt/yr of Jaypee's operational plants in Uttar Pradesh, Himachal, Uttarakhand, Andhra Pradesh and Chattisgarh. The venture may exclude Jaypee's first cement plant in Rewa, Madhya Pradesh, which has approximately 3Mt/yr of cement production capacity.
UltraTech and Hindalco Industries win coal mines in India’s auction
20 February 2015India: Day six of India's coal block auctions, on 19 February 2015, saw UltraTech Cement win the Bicharpur mine in Madhya Pradesh, which has 29.1Mt of coal reserves, for a bid of US$48.3/t. UltraTech beat ACC, Hindalco Industries, Jaypee Cement and OCL India, among others.
Aditya Birla Group's Hindalco Industries won the Gare Palma IV-5 block for US$56.3/t. The mine has estimated extractable reserves of 42.4Mt. It beat a number of rivals, including Ambuja Cement. Jindal Power Ltd won the Gare Palma IV-2 and 3 coal mines in Chhattisgarh, which have extractable coal reserves of 156Mt, for an estimated US$270m.
UltraTech buys Jaypee’s Madhya Pradesh cement plants
29 January 2015India: Jaiprakash Associates (Jaypee Group) has announced that it will sell two cement plants in Madhya Pradesh State to UltraTech Cement. The assets comprise cement plants and grinding facilities in Bela and Sidhi with a total capacity of 4.9Mt/yr, along with an associated 180MW power plant to supply them.
UltraTech will pay US$740m in non-convertible debentures (loan certificates) and shares worth US$16m for the facilities. It will also assume a net debt and negative working capital of US$128m associated with the businesses. This puts the overall value of the transaction at US$628m.
The sale is part of Jaypee's programme to pay-down debt. It has sold assets worth US$3.6bn in pursuit of this aim. This includes some US$1.6bn of assets in its cement business. However, it said that it remains India's third-largest cement producer, with a capacity of 22Mt/yr.
Jaypee's largest previous cement divestment was also to UltraTech. In 2014, it sold a 2.4Mt/yr cement plant in Kutch and a 2.4Mt/yr grinding plant in Wanakbori, both in Gujarat State, for US$620m. The deal was closed in June 2014. In September 2014, Jaypee announced the US$60m sale of its 1.5Mt/yr grinding plant in Panipat to Shree Cement. It also sold its 74% stake in Bokaro Jaypee Cement Limited, a cement joint venture with the Steel Authority of India (SAIL) to Dalmia Cement for US$115m.
India: The Competition Commission of India (CCI) has closed a case of alleged cartel activity among 11 cement companies due to a lack of evidence. The companies were named as Penna Cements, India Cements, Bharathi Cements, Dalmia (Bharat) Cements, Bhavya Cements, Zuari Cements, Ultratech Cements, Jaypee Cements, Ramco Cements, KCP Cements and My Home Cements.
Jaiprakash Associates to sell Bhilai plant to Shree Cement
17 October 2014India: Jaiprakash Associates Limited is selling its 2.1Mt/yr capacity split grinding plant at Bhilai, Chattisgarh to Shree Cements Limited for an enterprise value of US$293.
The deal is expected to be completed in October 2014.
Bhilai Jaypee Cement Limited is a joint venture between Jaiprakash Associates, which holds 74% stake in the unit and the Steel Authority of India Ltd (SAIL), which holds 26%. The cement plant, which has revenues of US$130m/yr, has US$97.5m of debt. After adjusting for this, the equity value of the deal is US$179 – 195m.
UltraTech completes acquisition of cement units of Jaypee Cement
03 September 2014India: UltraTech Cement has completed the acquisition of cement plants of Jaypee Cement Corporation (JCCL) in Gujarat State. UltraTech informed the Bombay Stock Exchange that the acquisition process had been completed and became effective from 12 June 2014.
In September 2013 UltraTech acquired the cement unit of JCCL, which comprised an integrated cement plant at Sewagram and a grinding plant at Wanakbori, for US$627m. Post-acquisition, UltraTech's total capacity in India stands at 58.8Mt/yr. Including overseas capacity it is 62Mt/yr.
CCI imposes US$66.2m penalty on Shree Cement
19 June 2014India: The Competition Commission of India (CCI) has imposed the penalty on Shree Cement while issuing the final order in a case against cement manufacturers and their trade body, the Cement Manufacturers Association (CMA).
"The Commission has imposed a penalty on Shree Cement Ltd at the rate of half of its profits for the years 2009 - 2010 and 2010 – 2011, aggregating to US$66.2m," said the CCI. The CCI added that it had, "Found 11 cement manufacturers, including Shree Cement and the CMA, in contravention of the provisions of the Competition Act 2002, which deal with anti-competitive agreements, including cartels." It asked Shree Cement to refrain from such anti-competitive activities in the future.
With regard to the other companies, the CCI said that as they were fined earlier, it was not imposing any penalty on them again for the same period of contravention. In June 2012 the CCI imposed a US$1.05bn fine on 11 leading cement makers, including ACC, Ambuja Cements, UltraTech, India Cements, Binani Cement, JK Cement, Madras Cement, Lafarge and Jaypee Cement. The industry body CMA was also fined US$121,717.
India: UltraTech Cement has received the approval of the Bombay and Ahmedabad High Courts to acquire Jaypee Cement's plant in Gujarat.
UltraTech has already received the approval of the Securities and Exchange Board of India (SEBI), shareholders and creditors to buy the 4.8Mt/yr cement plant with a 57.5MW coal-fired thermal power plant, limestone reserves for over 90 years and a captive jetty at Sewagram, Maharashtra State, for US$639m. As part of the deal, UltraTech will absorb a debt of US$614m of Jaypee Cement and issue UltraTech shares worth US$25.2m to Jaypee Associates.
Himachal Pradesh State Pollution Control Board orders Jaypee Cement to halt over-production
11 June 2014India: The Himachal Pradesh State Pollution Control Board (HPSPCB) has ordered Jaypee Cement to halt its over-production immediately, according to local media. In order to ensure that the directive is followed the board has asked the electricity provider to limit the power supply that is provided to the cement plant.
Worker dies in freak accident in cement factory
12 May 2014India: A worker was killed on 10 May 2014 while cleaning the belt of a crusher in Jaypee's cement plant in Chhijwar, Madhya Pradesh.
The incident took place when the worker, Gulab Patel, who was cleaning the crusher belt got trapped in the machine. The victim was rushed to Rewa's Sanjay Gandhi Hospital but he died on the way.
Patel's family have alleged that he was killed inside the plant and that the management failed to inform them about the incident. The family said that they came to know about the incident only through other workers. The plant management has agreed to pay compensation of US$16,753, provide a job to a family member and also provide free training to the son of the deceased.
