CRH to reconsider sale of cement business in the Philippines

Philippines: CRH is considering selling its cement business in the Philippines. The company has engaged UBS Group to assess investors' interest in acquiring assets, with negotiations ongoing. In 2019, CRH attempted to sell its Philippines cement business for US$2 - 3bn as part of an asset portfolio optimisation, but the divestment is reportedly now worth ‘significantly’ less due to a ‘more complex’ business environment, according to AK&M Information Agency.

CRH first entered the Philippine market in 2015 by acquiring Republic Cement, the second largest cement producer in the Philippines.

Savannah Cement prepares to sell assets

02 August 2024

Kenya: Savannah Cement will sell assets including its Athi River grinding plant to compensate creditors, following its liquidation after entering administration in 2023, Business Daily has reported. Savannah Cement’s administrator PKF Kenya announced that the closing date for expressions of interest will be 16 August 2024. The company owes creditors US$139m. KCB Bank Kenya and Absa Bank Kenya, as preferential creditors, are owed US$68.5m and US$40.3m respectively, and will have their claims prioritised in the liquidation process. The forced sale value of these assets stands at US$58.6m, suggesting losses for unsecured creditors.

Votorantim Cimentos to sell Tunisian assets to Sinoma Cement

29 July 2024

Tunisia: Votorantim Cimentos has signed an agreement to sell its Tunisian assets to China-based Sinoma Cement for US$130m, according to Yicai Global. The deal's completion depends on regulatory approvals from China, Tunisia and the Common Market for Eastern and Southern Africa (Comesa).

All of Votorantim Cimentos' plants and offices in Tunisia will continue to operate as usual during the regulatory review.

Loma Negra extends exclusivity with CSN

25 July 2024

Argentina: InterCement, the Brazilian group owning Loma Negra, has extended an exclusivity period with Companhia Siderúrgica Nacional (CSN) until 12 August 2024 to finalise the sale of its assets. Despite no firm commitment to sell, this move sidelines local investor Marcelo Mindlin's bid.

InterCement said in a statement "There is no signed document that generates any firm obligation or commitment on its part, its shareholder, and/or its subsidiaries in connection with the potential transaction."

According to CE Noticias Financieras, InterCement is under financial strain with debts of US$1.6bn. It is continuing to negotiate with creditors and strategise asset divestments.

Cimerwa acquires Prime Cement

25 July 2024

Rwanda: Cimerwa has completed its acquisition of Prime Cement. Cimerwa stated that the purchase of Prime Cement’s assets was an ‘off-market transaction’, denoting a private deal directly with the company. The company will acquire all operational assets of Prime cement, while the government retains any outstanding liabilities.

A statement from Cimerwa reads "Under this agreement, Cimerwa will acquire all assets of Prime Cement, thereby committing to ensuring cement sovereignty in Rwanda."

Adani Group to acquire Jaypee Group's cement assets

19 July 2024

India: Adani Group is planning to acquire cement assets from Jaypee Group, which include over 9Mt/yr of cement capacity, following Jaiprakash Associates' insolvency proceedings initiated in early June 2024. The National Company Law Tribunal in Allahabad admitted Jaiprakash Associates for corporate insolvency on 3 June 2024. Adani would acquire significant assets in the deal, including limestone mines and a power plant, although formal asset sale processes have not yet commenced.

Béton Provincial acquires assets from CRH Canada Group

Canada/US: Béton Provincial has concluded a transaction with CRH Canada Group to acquire several assets located in Quebec, Newfoundland, Labrador and New York.

President of Béton Provincial André Bélanger said "This significant milestone highlights the journey undertaken by Béton Provincial since its foundation in Quebec in 1960. We are very proud to see that a 100% Canadian-owned company is now making its mark alongside the major multinational players in its industry.”

China National Building Material’s profit dropped in 2023

30 January 2024

China: China National Building Material (CNBM) expects to record a 65% year-on-year drop in its profit in 2023. This would correspond to a figure of US$393m, against a reported profit after tax of US$1.12bn in 2022. Reuters has reported that CNBM partly attributed the anticipated drop to low cement prices and changes in the fair value of its assets.

CRH to acquire Hunter cement plant from Martin Marietta Materials

21 November 2023

US: Ireland-based CRH has concluded a deal for the acquisition of Martin Marietta Materials’ South Texas business. This includes the 2.1Mt/yr Hunter cement plant, a network of cement terminals on the Gulf of Mexico and 20 ready-mix concrete batching plants. The value of the transaction is US$2.1bn.

CRH chief executive officer Albert Manifold said “The acquisition of these high-quality assets further strengthens our market leading position in Texas and increases our exposure to attractive, high-growth markets. Our ability to leverage our cement expertise and technical capabilities will enable us to enhance and optimise our existing footprint in Texas, resulting in significant synergies and self-supply opportunities. This transaction reflects our disciplined approach to capital allocation as well as our commitment to deliver further growth and value creation for our shareholders. We also believe there is significant potential to unlock additional growth opportunities across an expanded footprint in this attractive growth market.”

ABG Shipyard seeks buyer for Vadraj Cement

17 November 2023

India: ABG Shipyard plans to sell Vadraj Cement, which owns a decommissioned clinker unit and grinding unit, as well as quarries and a jetty, in Kutch, Gujarat. The National Company Law Tribunal took over winding up proceedings for the former cement producer in September 2023. The Economic Times newspaper has reported JSW Cement, Adani Group and steel producer ArcelorMittal Group as potential buyers for the business. It expects Vadraj Cement to attract a price of US$240 – 300m, against debts of US$841m.
