India: Reliance Infrastructure has completed the sale of its 100% shareholding in Reliance Cement to Birla Corporation, part of MP Birla Group. The US$715m deal, valued at US$140/t of cement production capacity, was announced in February 2016. The transaction has now completed following the transfer of shares and receipt of sale consideration. Proceeds of the sale will be used by Reliance Infrastructure to pay off its debts.
India: The Calcutta High Court has dismissed two petitions by members of the Birla family intending to challenge the takeover of Reliance Infrastructure by Birla Corporation. Justice Jyotirmoy Bhattacharya held that the petitions were not maintainable stating that decisions taken by the directors could not be called into question by the probate court.
The challenge by the Birla family represents the latest move in a long-running legal battle between the family and accountant R S Lodha, father of the current chairman of Birla Corporation. The cement company announced in February 2016 that it was planning to buy Reliance Infrastructure for US$715m.
India: Members of the Birla family have challenged the take-over of the Reliance Infrastructure in the Calcutta High Court claiming that it was done without the consent of the family or the court. The move follows a prolonged legal battle in 2004 between the Birla family members and chartered accountant R S Lodha. Lodha claimed that M P Birla's widow Priyamvada had bequeathed the assets of the estate to him. The matter is still being contested legally.
Representatives for Birla Corporation defended the purchase saying that the funds were not being taken from the estate and that it was being done through internal accrual and other sources. They added that the US$715m take-over would be a 'sweet deal' as the assets of the Reliance Infrastructure cement company were new. The deal was announced in early February 2016.
India: Reliance Infrastructure has sold its cement business to Birla Corporation for US$709m to lower its debt. The transaction is subject to approval of the Competition Commission of India and other applicable regulatory approvals," the company said.
"Reliance Infrastructure today announced the signing of share purchase agreement with Birla Corporation Limited, the flagship Company of the M P Birla Group, in relation to 100% sale of its subsidiary RCCPL," the company said in a statement. It added that SBI Capital Markets acted as the financial advisors to Reliance Infrastructure for this transaction.
Reliance Infrastructure has an integrated cement production capacity of 5.08Mt/yr at Maihar, Madhya Pradesh and Kundanganj, Uttar Pradesh and a 0.5Mt/yr cement grinding unit at Butibori, Maharashtra. The deal was valued at US$140/t of cement production capacity.
India: UltraTech Cement is reportedly in advanced discussions with Reliance Infrastructure on the sale of its cement units.
Reliance Infrastructure put up its cement units for sale in October 2015 to reduce its US$3.86bn debt. The company earned a revenue of US$56.7m from its 5.5Mt/yr of operational capacity in July - September 2015. Reliance Infrastructure's cement units are expected to fetch an enterprise valuation of US$749 - 824m.
Reliance Infrastructure to sell cement business to cut debt
08 October 2015India: Reliance Infrastructure plans to sell its cement business as part of plans to cut debt through the sale of non-core assets.
As many as 10 global companies have been sounded for a 100% stake of Reliance Cement, a wholly-owned subsidiary of Reliance Infrastructure. These include CRH, Cemex, HeidelbergCement, GE, Blackstone, Carlyle and KKR. Local companies JK Cement and Prism Cement may also be interested. Reliance Group has appointed Morgan Stanley as banker to scout for buyers for Reliance Cement.
The sale of the cement business is aimed at reducing debt by selling non-core assets. Reliance Infra's debt stood at around US$3.86bn on 31 March 2015. Reliance believes that the sale will help reduce its debt by 20 – 25%. It is looking at a valuation of US$769 – 922m for Reliance Cement, which has a cement production capacity of 5.6Mt/yr.
Reliance Cement started operations in 2007 and has plants in Maihar in Madhya Pradesh (2.8Mt/yr), Kundanganj in Uttar Pradesh (2.2Mt/yr) and Butibori in Maharashtra (500,000t/yr). It is also developing a 5Mt/yr greenfield plant at Wani in Maharashtra.
Reliance Infrastructure might sell Reliance Cement
13 March 2015India: Reliance Infrastructure, part of Anil Ambani-led Reliance Group, has decided to sell its cement business, Reliance Cement, to fund the acquisition of Pipavav Defence and Offshore Engineering, which it is acquiring for US$331m.
Reliance Cement is in talks with HeidelbergCement and Italcementi and has offered a 50% stake in the company. The prospective joint venture partner will also fund the company's cement capacity expansion, which is estimated to rise to 15Mt/yr by 2018. Details of the valuation of the possible deal are unknown. HeidelbergCement has operations in Damoh in Madhya Pradesh, Jhansi in Uttar Pradesh and Ammasandra in Karnataka. Italcementi is active in India via Zuari Cement.
Reliance Cement has a 5Mt/yr capacity cement plant in Maihar, Madhya Pradesh. As part of its expansion plan, it is setting up another 5Mt/yr plant in Maharashtra, which is set to be operational by 2017. It is also planning another 5Mt/yr of capacity to be operational by 2018, via a second line in Madhya Pradesh, a new plant in Karnataka or a new plant in Rajasthan.
India: Reliance Infrastructure Ltd (R-Infra), part of Reliance Group, has named M S Mehta as chief executive officer (CEO) with effect from 7 July 2014. He will take over as CEO from Lalit Jalan, who held the portfolio for more than seven years.
Mehta was the Group CEO of Vedanta Resources Plc until recently, having held the position for five years. Prior to that, Mehta was the CEO of Hindustan Zinc Ltd. Mehta is a mechanical engineer and an MBA from the Indian Institute of Management, Ahmedabad.
R-Infra is an infrastructure company developing projects, through various special purpose vehicles, in sectors such as roads, metro rail and cement. R-Infra also promoted Jalan as director (corporate strategy and affairs), saying that Jalan will steer future growth initiatives.
